Draft / Testnet phase / To be reviewed by counsel before mainnet. This draft will be reviewed and updated before mainnet.
Terms of Use
Effective date:
1. Agreement and acceptance
These terms govern access to the InternCats Launchpad interface and related platform services. By using them, you accept these terms and the applicable Privacy Policy and Risk Disclosure. Stop using the services if you disagree. Anyone acting for an organization must have authority to bind it.
2. Company and platform
Interncats LLC provides the InternCats Launchpad software interface for viewing token information, interacting with smart contracts and using referral features. The current service operates on X Layer Testnet (1952). The platform does not act as a bank, broker, exchange, asset custodian or investment adviser. Tokens are issued by their creators, rather than by the platform on their behalf.
3. Eligibility
You must be at least 18 and legally able to enter this agreement and use the services. Check restrictions relevant to your location, nationality and activities. Do not use the services where prohibited by applicable law, if subject to applicable sanctions, or on behalf of sanctioned persons or users in legally restricted territories. Do not evade restrictions through proxies or false information.
4. Non-custodial interface
You submit instructions to blockchain contracts through your own wallet. We do not hold your assets, private keys or recovery phrases, or sign, execute or reverse transactions for you. Software may help prepare and broadcast transactions you authorize; the network and contracts determine execution. Access to the interface is distinct from access to contracts.
5. Wallets and security
Protect your wallet credentials, check the network, contract address, allowance, amount and fees, and guard against phishing, malicious signatures and device compromise. Never provide private keys or recovery phrases to us or anyone claiming to represent us. Wallet connection, message signing and transactions serve different purposes; read what you are approving.
6. Irreversible transactions
Confirmed blockchain transactions generally cannot be withdrawn or amended. Wrong addresses, networks or approvals can cause permanent loss. Quotes, indexes and previews may lag. Contract state, slippage, congestion and transaction ordering can change outcomes, and failed transactions may still cost network fees.
7. Token creation, content and moderation
Creators are independently responsible for token design, promotion, names, symbols, images, descriptions and external links, including accuracy, legality and permission to use them. They must not infringe rights or mislead users. Listing, ranking or display is not approval, endorsement or a return guarantee. We may restrict display, remove images or descriptions, suppress previews or stop displaying token pages following complaints, legal concerns or platform rules. This does not delete on-chain data or third-party copies.
8. Trading, graduation and liquidity
The current V2 model allocates 75% of supply to the curve and reserves 25% for graduation liquidity. Contracts migrate liquidity to a Uniswap v4 pool when their conditions are met. The official LP position created at graduation is permanently locked. This does not guarantee market depth, counterparties, stable prices or the ability to sell, and does not mean every third-party pool has locked LP. Theoretical curve prices and graduation conditions are not promises of returns.
9. Risk and independent decisions
Read the Risk Disclosure and decide whether you can bear a total loss. Tokens can be volatile, lose all value or lack liquidity. Interface information is not investment, legal or tax advice. We do not guarantee token quality, creator conduct or any transaction outcome.
10. Fees, project tax and taxation
Current V2 trades incur a 1% protocol fee, allocated 70% to the creator, 10% to the referral bucket and 20% to the platform. The platform share is allocated 80% to ICAT custody, 10% to community and 10% to team. Referral eligibility determines earnings; unearned, absent-code and self-referral portions go to community, subject to the applicable contract. ICAT custody allocation does not mean a buyback has occurred. Creator-set buy and sell project tax rates are each capped at 10% (1000 bps), charged on curve trades and trades routed through the official graduated v4 Hook; token transfers are untaxed. Contract anti-sniping charges may also apply, and the network charges gas. Check all charges before signing. You determine, report and pay your own applicable taxes.
11. Acceptable use
Do not use the services for fraud, market manipulation, money laundering, sanctions evasion, impersonation, malicious or infringing content, or other unlawful activity. Do not attack services, steal credentials, exploit vulnerabilities to harm others or disrupt infrastructure. Automated access must follow applicable rules and must not evade contract or platform limits through multiple accounts or other means.
12. Conflicts of interest and $ICAT
The platform, team or affiliates may hold or trade displayed tokens, receive fee allocations or participate in $ICAT buybacks. Their interests may differ from yours. Buyback execution depends on the applicable mechanism and conditions; frequency, size, price and returns are not guaranteed. Except as required by law, using the interface does not create fiduciary duties, an agency relationship or responsibility to invest on your behalf.
13. Anti-sniping and trading limits
Curve contracts enforce anti-sniping rules and early buy limits, which can sharply increase charges or cause reverts. The first anti-sniping tier is 99%; the contract uses the higher of that tier and protocol fee plus project tax for the total rate, rather than simply adding another 99%, subject to contract rounding. The authorized atomic opening buy is exempt from anti-sniping and ordinary buy limits but still pays protocol fee and buy project tax. The graduated v4 Hook does not implement the curve anti-sniping mechanism.
14. Third-party services
Wallets, X login, X Layer, Uniswap v4, RPC providers, explorers and external websites are operated by third parties under their own terms. We cannot guarantee their availability, security or data accuracy. External links are not endorsements.
15. Intellectual property and infringement notices
Platform branding, interface and original content belong to Interncats LLC or the relevant licensors; open-source components remain subject to their licenses. You receive only the limited permission needed to use the services lawfully, without any right to claim brand authorization or affiliation. Send suspected infringement notices to info@interncats.com following the Content Takedown page.
16. License for submitted content
You retain rights in your content. For content you actually submit to the platform for publication or display, you grant a non-exclusive, worldwide, royalty-free license to store, reproduce, make necessary format changes and display it to provide, protect and operate the services, including processing by relevant providers for those purposes. You must have authority to grant this license. Removal remains subject to legal retention duties, caches and blockchain immutability. This license does not turn local preview material into published content.
17. Feedback
If you voluntarily provide suggestions or feedback, you allow us to use those ideas to improve the services without compensation or attribution. Do not include third-party confidential information or information you cannot lawfully disclose.
18. Service availability
We may change, suspend or discontinue interface features for maintenance, vulnerabilities, infrastructure, legal or operational reasons. Index delays, forks, third-party failures and testnet resets may affect access and data. Continuous availability, error-free operation and compatibility with every wallet are not guaranteed.
19. As-is service and disclaimers
To the extent permitted by applicable law, services are provided as is and as available, without express or implied warranties of merchantability, fitness for a particular purpose, non-infringement or transaction success. These terms do not exclude warranties or consumer rights that cannot lawfully be excluded.
20. Limitation of liability
To the fullest extent permitted by law, we and our affiliates are not liable for indirect, incidental or consequential loss, lost profit or opportunity, or asset losses resulting from compromised wallets, contract flaws, third-party failures, price movements or user actions. Limits apply only where lawful and do not restrict liability for fraud, deliberate misconduct or other liability that cannot be limited. Mandatory rights prevail.
21. Indemnity
Where permitted by applicable law, you are responsible for third-party claims and reasonable costs arising from your unlawful use, infringement of third-party rights or breach of these terms, and must indemnify us for resulting losses. This does not require you to bear responsibility for our unlawful conduct. The parties should reasonably cooperate in handling claims.
22. Termination and access restrictions
You may stop using the services at any time. We may restrict or terminate interface access and related sessions for breaches, security concerns or legal risks. Ending interface access does not transfer your on-chain assets or reverse existing transactions. Provisions that by nature survive, including intellectual property, liability and dispute provisions, continue after termination.
23. Governing law and dispute resolution
[待律师确定:适用法律与争议解决方式] — governing law and the dispute resolution method remain for counsel to determine. This draft does not select a state law, arbitration seat or mandatory arbitration procedure. Applicable mandatory rights remain unaffected.
24. General provisions
These terms and referenced policies form the agreement about the services. If a provision is unenforceable, the remainder continues where lawful. Failure to exercise a right is not a waiver. You may not assign obligations without consent, and any lawful assignment must respect mandatory user rights. Both language versions aim to express the same meaning; ambiguity will be interpreted under applicable law and clarified by revision.
25. Changes and contact
We may update these terms and identify the version and effective date here. Material changes to rights or obligations will be highlighted through appropriate means. Read the applicable version before continuing use. Contact info@interncats.com for legal, privacy, content or other questions.
